1. Acceptance of Terms

By accessing or using the Hive Solutions platform (mobile applications and website), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this platform. These Terms constitute a legally binding agreement between you and Hive Solutions. Your continued use of the platform constitutes acceptance of any modifications to these Terms.

2. Service Description

Hive Solutions is a technology company that operates multiple digital ventures connecting users with service providers. Our services include but are not limited to: caregiver matching and booking (HiveCare), transportation services (TaxiMasr), digital security solutions (HiveProtect), and automated trading signals (HiveTrader). Each venture may have additional specific terms. Hive Solutions provides technology platforms that facilitate connections between service seekers and service providers. Where applicable, Hive Solutions does NOT provide medical care, nursing services, or medical advice. All caregiving services are for non-emergency companionship and assistance with activities of daily living only.

3. User Accounts and Registration

3.1 Registration Requirements

To use our services, you must:

  • Be at least 18 years old or have parental/guardian consent
  • Register and create an account
  • Provide accurate, current, and complete information during registration
  • Update your information to keep it accurate and current

3.2 Account Security

You are responsible for:

  • Safeguarding your account credentials
  • All activities that occur under your account
  • Immediately notifying Hive Solutions of any unauthorized use

Hive Solutions reserves the right to suspend or terminate accounts that violate these Terms or provide false information.

4. Platform Role — Intermediary Not Employer

Hive Solutions acts solely as an intermediary platform connecting users with independent service providers and contractors. Hive Solutions is NOT an employer, agency, or direct provider of services. Service providers are independent contractors, not employees of Hive Solutions. Hive Solutions does not control, direct, or supervise the actual provision of services. The contractual relationship for services exists directly between users and service providers. Hive Solutions facilitates connections and provides technology infrastructure but bears no responsibility for the quality, safety, or outcomes of services provided.

5. Booking Process and Service Hours

5.1 Making a Booking

Users can book services through the app by:

  • Selecting service type, date, time, and duration
  • Providing accurate information and service location
  • Specifying any special requirements

All bookings are subject to service provider availability and acceptance. Once a service provider accepts a booking, it becomes a confirmed appointment.

5.2 Service Hours and Tracking

During service hours:

  • Service providers are expected to arrive on time
  • Services must be provided for the full booked duration
  • Location tracking is active for safety and verification purposes
  • Late arrivals or early departures may result in partial refunds or service provider penalties

6. Payment Terms and Methods

6.1 Payment Methods

All payments must be processed through the Hive Solutions platform using authorized methods:

  • Paymob (credit/debit cards)
  • Fawry
  • Fawaterak
  • Other approved payment methods

Prices are displayed in Egyptian Pounds (EGP) and include all applicable fees. Payment is charged when a booking is confirmed.

6.2 Payment Processing

Payment structure:

  • Hive Solutions collects payment on behalf of service providers
  • Payment is disbursed after service completion, minus platform commission
  • Users agree to pay the full booking amount
  • Service providers agree to Hive Solutions' commission structure as outlined in their respective contracts
  • All transactions are subject to verification and fraud prevention measures

7. Cancellation and Refund Policy

7.1 Cancellation by Users

Cancellation fees based on timing:

  • Free cancellation up to 24 hours before scheduled service
  • 12–24 hours before service: 25% cancellation fee
  • 4–12 hours before service: 50% cancellation fee
  • Less than 4 hours before service or no-shows: 100% fee (no refund)

7.2 Cancellation by Service Providers

Service provider cancellation policy:

  • Service providers who cancel confirmed bookings may face penalties and rating impacts
  • Emergency cancellations will be reviewed case-by-case

7.3 Refund Processing

Refund details:

  • Refunds are processed within 7–14 business days
  • Refunds are issued to the original payment method
  • Hive Solutions reserves the right to modify cancellation policies with notice

8. User Conduct and Prohibited Activities

8.1 Prohibited Activities

Users agree NOT to:

  • Provide false or misleading information
  • Impersonate any person or entity
  • Harass, abuse, or harm others
  • Use the platform for illegal purposes
  • Attempt to bypass payment systems
  • Share login credentials
  • Scrape or data mine the platform
  • Post inappropriate content
  • Discriminate based on race, religion, gender, or disability
  • Solicit direct payment outside the platform
  • Interfere with platform operations
  • Reverse engineer the software
  • Violate any applicable laws

8.2 Consequences of Violations

Violations may result in:

  • Immediate account suspension or termination
  • Potential legal action

9. Ratings, Reviews, and Feedback

9.1 Rating and Review Requirements

After each service, users and service providers can rate and review each other. Reviews must:

  • Be honest, accurate, and based on actual experiences
  • Not contain offensive language, personal attacks, or discriminatory content
  • Comply with our community guidelines

Hive Solutions reserves the right to remove reviews that violate our guidelines.

9.2 Impact and Consequences

Rating impacts:

  • Ratings affect service provider visibility and user reputation on the platform
  • Persistently low-rated users may face account restrictions
  • False or retaliatory reviews are prohibited and may result in account termination
  • Reviews become part of the public profile and help maintain platform quality

10. Intellectual Property Rights

All content on the Hive Solutions platform, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, software code, and data compilations, is the property of Hive Solutions or its licensors and is protected by Egyptian and international copyright, trademark, and other intellectual property laws. The Hive Solutions name, logo, and all related marks are trademarks of Hive Solutions. Users may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any platform content without express written permission from Hive Solutions.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIVE SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR DAMAGES RESULTING FROM: USE OR INABILITY TO USE THE PLATFORM; SERVICE PROVIDER ACTIONS OR OMISSIONS; QUALITY OF SERVICES; INJURIES, ILLNESS, OR DEATH; PROPERTY DAMAGE; UNAUTHORIZED ACCESS TO USER DATA; OR ANY OTHER MATTER RELATING TO THE PLATFORM. HIVE SOLUTIONS' TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY THE USER IN THE THREE MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify, defend, and hold harmless Hive Solutions, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: your use of the platform; your violation of these Terms; your violation of any rights of another party; any content you post; services provided or received through the platform; disputes between users; or any negligent or wrongful conduct. This indemnification obligation will survive termination of these Terms and your use of the platform.

13. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms or the platform shall first be attempted to be resolved through good faith negotiations between the parties. If negotiations fail, disputes shall be resolved through binding arbitration in Cairo, Egypt, in accordance with the Egyptian Arbitration Law. The arbitration shall be conducted in Arabic or English as mutually agreed. Each party shall bear its own costs of arbitration. The arbitrator's decision shall be final and binding. Notwithstanding the foregoing, Hive Solutions may seek injunctive relief in court to protect its intellectual property or confidential information.

14. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, without regard to its conflict of law provisions. You agree that any legal action or proceeding related to these Terms or the platform shall be brought exclusively in the courts of Cairo, Egypt. You consent to the personal jurisdiction of such courts and waive any objection to venue. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Account Termination and Suspension

15.1 Termination by Hive Solutions

Hive Solutions reserves the right to suspend or terminate user accounts at any time for:

  • Violations of these Terms
  • Fraudulent activity
  • Abusive behavior
  • Any other reason at our sole discretion

15.2 Termination by Users

Users may terminate their accounts:

  • At any time through app settings
  • But remain liable for all outstanding payments and obligations

15.3 Effects of Termination

Upon termination:

  • Access to the platform will be revoked
  • User data may be retained for legal and operational purposes as outlined in our Privacy Policy
  • Termination does not affect any rights or obligations that accrued before termination

16. Modifications to Terms

Hive Solutions reserves the right to modify these Terms of Service at any time. We will notify users of material changes through in-app notifications, email, or prominent notices on the platform. Continued use of the platform after such modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the platform and may terminate your account. We recommend reviewing these Terms periodically to stay informed of any changes. The "Last Updated" date at the top of these Terms indicates when the most recent changes were made.

17. Privacy and Data Protection

17.1 Privacy Policy

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

17.2 Data Collection and Use

By using Hive Solutions, you consent to our collection and use of:

  • Location data during service hours
  • Information provided for service purposes
  • Payment information
  • Communications between users

17.3 Data Security

Security measures:

  • We implement security measures to protect your data
  • We cannot guarantee absolute security
  • You are responsible for maintaining the confidentiality of sensitive information

18. Medical Equipment Store and Rentals

18.1 Equipment Marketplace

Through HiveCare, Hive Solutions offers a marketplace for medical equipment:

  • Rentals and purchases from third-party suppliers
  • Hive Solutions acts as a platform only
  • All equipment transactions are between users and suppliers

18.2 User Responsibilities

Users must:

  • Inspect equipment upon delivery
  • Report any issues immediately
  • Use and maintain rented equipment properly
  • Comply with rental terms, return policies, and damage fees specified for each item

18.3 Equipment Disclaimer

Hive Solutions is NOT responsible for:

  • Equipment quality, safety, functionality, or suitability
  • Injuries or damages resulting from equipment use

Hive Solutions disclaims all warranties regarding equipment.

19. Emergency Services Disclaimer

Hive Solutions is NOT an emergency service provider. Our platforms and services are designed for non-emergency use only. In case of medical emergency, users must immediately call 123 (Egypt Emergency Services) or go to the nearest hospital. DO NOT rely on Hive Solutions or service providers for emergency medical assistance. Caregivers are instructed to call emergency services when needed but are not trained emergency responders. Hive Solutions is not liable for delays in emergency response, emergency outcomes, or any consequences of relying on our platform during emergencies. Always have emergency contact numbers readily available.

20. Entire Agreement and Severability

These Terms of Service, together with the Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Hive Solutions regarding the use of the platform and supersede all prior agreements and understandings. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired. Hive Solutions' failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
